You authorize us, directly or through third parties, to make any inquiries we consider necessary to validate your identity. This may include asking you for further information, requiring you to provide a biometric verification number (BVN), requiring you to take steps to confirm ownership of your email address or financial instruments, ordering a credit report, or verifying your Information against third party databases or through other sources.
You may not transfer or assign any rights or obligations you have under this Agreement without our prior written consent in its sole and absolute discretion. We reserve the right to transfer or assign this Agreement or any right or obligation under this Agreement at any time.
The service is provided to you "as is," without any representation or warranty, express or implied, of any kind, including, but not limited to, warranties of merchantability, non-infringement, or fitness for any particular purpose. We do not warrant the accuracy or completeness of the service, the suitability of the content or the reliability of any advice, opinion, statement or other information displayed or distributed through the service.
You acknowledge that any reliance on any such opinion, advice, statement, memorandum, or information shall be at your sole risk. We do not warrant that the functions contained in the materials will be uninterrupted or error-free, that defects will be corrected, or that this Site is free of viruses or other harmful components.
By accepting these Terms of Use, you expressly consent to be contacted by us, our agents, representatives, affiliates, or anyone calling on our behalf for any and all purposes, at any telephone number, or physical or electronic address you provide or at which you may be reached. You agree we may contact you in any way, including SMS messages (including text messages), calls using pre-recorded messages or artificial voice, and calls and messages delivered using auto telephone dialling system or an automatic texting system. Automated messages may be played when the telephone is answered, whether by you or someone else. In the event that an agent or representative calls, he or she may also leave a message on your answering machine, voice mail, or send one via text.
You agree that we may provide notice to you by posting it on our website or emailing it to the email address listed in your account. Such notice shall be considered to be received by you within 24 hours of the time it is posted to our website or emailed to you unless we receive notice that the email was not delivered. If the notice is sent by mail, we will consider it to have been received by you three Business Days after it is sent.
Because the FINT financial platform operates only on the Internet, whether you choose to participate on our platform as a borrower, investor or in any other manner, it is necessary for you to consent to transact business with us online and electronically. As part of doing business with us, we also need you to consent to our giving you certain disclosures electronically, either via our Site or to the email address you provide to us. By agreeing to the Terms of Use, you agree to receive electronically all documents, communications, notices, contracts, and agreements arising from or relating to your use of the Site and Service, including any loans you may request or receive, your registration as a borrower or investor on our Site, any loans you may fund, notes you have purchased, your use of this Service, and the servicing of your loan, if funded, as either a borrower or investor member of FINT.
The applicable tax laws in Nigeria as related to our BORROWERS and INVESTORS are Value Added Tax and Withholding Tax;
Interests earned by INVESTORS are liable to 10% WHT on the INTEREST EARNED alone.
BORROWERS are charged 5% VAT on service charges as applicable.
We are obliged by the applicable laws to collect these taxes on behalf of the government and remit as at when due, failure of which attracts severe penalties. Where applicable, the WHT charged on INVESTORS’ interests may help reduce INVESTORS’ tax liability in the same year. We are not to be held responsible for advising, estimating, calculating and/or remitting any other appropriate taxes that apply to you in Nigeria and abroad outside of our transactions here.
You agree to indemnify us to the full extent of applicable law in the event that any tax authority holds us responsible for any taxes directly or indirectly arising from your use of the site.
We have the right to deny your access to, and suspend or terminate your access to, the Site for any reason, including for any violation by you of these Terms of Use.
We own the intellectual property rights in the content and materials displayed on the Site. You may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material from the Site unless explicitly authorised in these Terms of Use.
The Company name, the term “FINT”, “FINT Technology Ltd”, the FINT logo, and all related names, logos, product and service names, designs and slogans are copyright and trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company or as otherwise set out in these Terms of Use. All other names, logos, product and service names, designs and slogans on this Site are the trademarks of their respective owners.
To the extent permitted by applicable law, our liability to you for any cause whatsoever, regardless of the form of the action will not exceed ₦500,000. If the dispute is pertaining to a lending transaction, our liability to you shall not exceed the amount of the lending transaction or ₦500,000 whichever is lower
Liability for death, personal injury or any loss arising from our negligence or our fraud or fraudulent misrepresentation is neither limited nor excluded.
As permitted by applicable law, we exclude all conditions, warranties, representations or other terms which may apply to our Site or any content on it, whether express or implied. We will not be liable to any user for any loss or damage, even if foreseeable, arising under or in connection with the use of, or inability to use our site
We do not guarantee the accuracy of any User Content or Third Party Content. Although we provide rules for User conduct and postings, we do not control and are not responsible for what Users post on the Site and are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content you may encounter on the Site or in connection with any User Content or Third Party Content. We cannot guarantee and does not promise any specific results from use of the Site and/or the Service to obtain a loan.
The Site and the Service may be temporarily unavailable from time to time for maintenance or other reasons. We assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, User communications. We are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or on the Site or combination thereof, including injury or damage to Users or to any other person's computer related to or resulting from participating or downloading materials in connection with the Web and/or in connection with the Service.
This Terms of Use shall be governed by the Laws of the Federal Republic of Nigeria. Any dispute arising out of this Agreement, which cannot be settled, by mutual agreement/negotiation within 30 days shall be referred to arbitration by a single arbitrator at the Lagos Court of Arbitration (“LCA”) and governed by the Arbitration and Conciliation Act, Cap A10, Laws of the Federal Republic of Nigeria. The arbitrator shall be appointed by the Parties, where Parties are unable to agree on the choice of an arbitrator, the choice of arbitration shall be referred to the LCA. The findings of the arbitrator and subsequent award shall be binding on the Parties and may be enforced through a Nigerian court of law. Each Party shall bear its cost in connection with the Arbitration.
These Terms of Use shall be interpreted and governed by the laws in force in the Federal Republic of Nigeria. The Parties submit to Arbitration and waive any objections based upon venue.
Our failure to enforce a provision of these Terms is not a waiver of its right to do so later. If any provision of these Terms is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term or terms will be substituted reflecting our intent as closely as possible.

Representations and warranties are statements and promises made by you to the Company, which we rely on as being accurate in our dealings with you. You make the following representations and warranties to us at the time of agreeing to these Terms and every time you use the Platform or Services, including the time you are matched to a Loan Agreement;
You agree that you will not do the following, in connection with any loans, Notes, or other transactions involving or potentially involving us;
We offer anonymity to both Lenders and Borrowers. As a Lender, you will not be provided with the name or identity of the party to whom you have lent money. Similarly, your identity will not be revealed to a Borrower.
You agree not to make attempts to establish the identity of, or contact, any of the Company’s Lenders or Borrowers
The Company does not provide any advice or guidance in relation to tax or otherwise and therefore we strongly recommended that you consult an independent financial advisor or tax advisor if you are unsure as to what your tax obligations are.
It is your responsibility to ensure that any tax liabilities which you incur (through interest earned on loans placed on the Platform or otherwise) are paid to the relevant taxation authority. We will not withhold any tax on your behalf except where required by law.
Neither the Company nor any member of FINT Technology Africa Ltd. has any liability in relation to any tax liabilities incurred by you.
You confirm that you have read and understood the Company’s Privacy Policy which provides information on how we use and store the personal information that you provide to us and you further acknowledge that the Company may amend and update this policy from time to time.
You agree that neither the Company nor its members have any obligation to reimburse or indemnify you for any cost, loss or liability which you incur as a result of the failure of any Borrower to perform its obligations under the Loan Agreement.
You agree to indemnify and hold harmless the Company, any Lender or Borrower, any employee or director of a member of FINT Technology Africa Ltd, and all our other agents or sub-contractors, against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest penalties and legal and other reasonable professional costs and expenses) suffered or incurred as a result of:

This Borrower Agreement ("Agreement") is between you ("you" and "your" mean each and every borrower, including any joint applicant/co-borrower) and FINT Technology Africa Ltd (referred to as “FINT”, "Company," "us," "our," or "we"). This Agreement governs the process by which you may make a request or requests for a loan from us through the website https://www.fint.ng/ (the "Site"). When you make a loan request and that request results in a loan that is approved and issued by us, your loan will be governed by the terms of the Loan Agreement and Promissory Note, which is attached to this Agreement as Appendix A and as it may be revised from time to time. This Agreement will remain in effect for the applicable loan, and will terminate if your loan request is cancelled, withdrawn, or declined.
When you make a request for a loan, you agree to receive and timely pay the loan that may be made in response to that request, subject to your right to cancel the request before confirming your application. Your agreement means you agree to repay the money provided by us to you and to abide by the terms of this Agreement and all other agreements or disclosures provided to you during the loan process and which may be found in your FINT account.
You may post a loan request on the Site. You may not post more than one loan request on the site at a time and you may not have more than two loans outstanding at any given time.
When you post a loan request on the Site, FINT lenders ("Lenders") will be able to review your loan request. Lenders may commit to lend your loan. You acknowledge that a Lender's commitment to lend in all or a portion of your loan does not confer any rights to you or obligate us to approve your loan. You understand that Lenders have the discretion whether to lend to your loan or not. You also expressly agree and undertake that FINT will not be held liable for any loss that you may suffer as a result of our decision not to approve your loan.
Not later than thirty (30) working days after your application is complete, we will tell you if your loan request is approved and will issue for some or all of your requested amount; or whether your loan request is declined, or if we are making you a counter-offer. Your loan request will be listed on our loan marketplace at least fourteen (14) working days from the date of your application, subject to Lender interest. It may take up to forty-five (45) working days to process and issue your loan.
If at any point, you no longer want a loan under your pending loan request, you must immediately notify us in writing of your election to terminate your loan request sufficiently far in advance of the loan closing for us to cancel the loan.
You understand that if we are unable to verify your bank account for any reason, we will cancel your application, your loan request will not be posted on the Site, and this Agreement will be terminated.
Your loan request must include your annual income and such other information as we may require and obtain through the Site, by telephone, E-mail or any other viable means. You may include other sources of income in your application. We reserve the right to verify any information you submit by requiring you to produce appropriate documentation or other proof, and also reserve the right to conduct such verification through a third party. You hereby authorize us to request and obtain data from a third party to verify any information you provide to us in connection with your loan request. We may terminate the consideration of your application at any time in our sole discretion.
You authorize us and our agents, successors and assigns to debit your designated bank account for the amount of each payment due on each due date.
This authorization does not affect your obligation to pay when due, all amounts payable on your loan, whether or not there are sufficient funds therefore in such bank accounts.
You undertake that you shall not, in connection with your loan request: (i) make any false, misleading or deceptive statements or omissions of fact in your loan request; (ii) misrepresent your identity, or describe, present or portray yourself as a person other than yourself; (iii) give to or receive from, or offer or agree to give to or receive from any FINT member or other person any fee, bonus, additional interest, kickback or thing of value of any kind except in accordance with the terms of your loan; or (iv) represent yourself to any person, as a representative, employee, or agent of ours, or purport to speak to any person on our behalf.(v) You acknowledge and agree that we may rely without independent verification on the accuracy, authenticity, and completeness of all information you provide to us.
You certify that you are a resident of Nigeria and the proceeds of the loan will not be used for funding any illegal activity.
As a condition to receiving a loan from us, you hereby grant us a limited power of attorney and appoint us and/or our designees as your true and lawful attorney-in-fact and agent, with full power of substitution and re-substitution, for you and in your name, place and stead, in any and all capacities, to complete and execute the Loan Agreement and Promissory Note(s) in the form attached as Appendix A that reflect- the accepted terms set forth in each of your final truth in Lending Disclosure(s) as such may be posted from time to time in response to your loan request(s) in the on-line account you have established with FINT where documents are stored and with full power and authority to do and perform each and every act and thing requisite and necessary to be done in connection with such power as fully to all intents and purposes as you might or could do in person ("Power of Attorney" ). This Power of Attorney is limited solely to the purpose described above and will expire automatically upon the termination of this Borrower Agreement.
You may revoke this Power of Attorney by contacting us at support@fint.ng and closing your account with us. However, if a loan request has been approved you must provide such notice before the loan proceeds are transferred to your designated account and before the Loan Agreement and Promissory Note is execsuted on your behalf. Once the Loan Agreement and Promissory Note is signed by FINT or its designee acting as your attorney-in-fact, it is deemed executed on your behalf and shall be your valid and binding obligation thereafter.
YOU AGREE AND ACKNOWLEDGE THAT YOU ARE NOT OBLIGATED UNDER THE TERMS OF THE LOAN AGREEMENT AND PROMISSORY NOTE AND THE LOAN TRANSACTION WITH US IS NOT COMPLETED (I.E. CONSUMMATED) UNTIL YOUR ABILITY TO CANCEL YOUR LOAN APPLICATION HAS PASSED. YOU ACKNOWLEDGE THAT WE ARE MATERIALLY RELYING UPON THIS UNDERSTANDING IN UNDERTAKING THE POTENTIAL ISSUANCE OF YOUR LOAN.
You acknowledge that the platform permits access to content that is protected by copyrights, trademarks, and other proprietary rights, and that these intellectual property rights are valid and protected in all media existing and your use of the platform shall be governed by the applicable intellectual property laws.
The liability of any joint applicant/co-borrower under this Agreement and under the Loan Agreement and Promissory Note is in addition to and not in lieu of the obligations of the primary borrower. The joint applicant/co-borrower agrees to abide by the terms and conditions of this Agreement, the Loan Agreement and Promissory Note and any other agreement and documents as if an original signatory. We and our successors and assigns have sole discretion to proceed, at any time, against any party responsible under this Agreement. Further, we can accept instructions from either you or the joint applicant/co-borrower, and notice can be given to either you or the joint applicant/co-borrower, and shall be binding on both and deemed received by all parties.
All notices and other communications to you hereunder may be given by email to your registered email address or posted on the Site, and shall be deemed to have been duly given and effective upon transmission. You acknowledge that you have control of such email account and your area on the Site and that communications from us may contain sensitive and confidential information. If your email address changes, you must notify us of the change by sending an email to support@fint.ng. You also agree to update your registered residence address and telephone number on the Site if they change.
To the extent permitted by applicable law, our liability to you for any cause whatsoever, regardless of the form of the action will not exceed ₦500,000. If the dispute is pertaining to a lending transaction, our liability to you shall not exceed the amount of the lending transaction or ₦500,000 whichever is lower.
EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, WE MAKE NO REPRESENTATIONS OR WARRANTIES TO YOU, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
WE DO NOT WARRANT OR GUARANTEE THAT YOUR LOAN REQUEST WILL BE FUNDED OR THAT YOU WILL RECEIVE A LOAN AS A RESULT OF POSTING A REQUEST.
This agreement is fully subject to your consent to electronic transactions and disclosures, which consent is set forth in the terms of use for the site.
This Agreement shall be governed by the Laws of the Federal Republic of Nigeria. Any dispute arising out of this Agreement, which cannot be settled, by mutual agreement/negotiation within 30 days shall be referred to arbitration by a single arbitrator at the Lagos Court of Arbitration (“LCA”) and governed by the Arbitration and Conciliation Act, Cap A10, Laws of the Federal Republic of Nigeria.
The arbitrator shall be appointed by the Parties, where Parties are unable to agree on the choice of an arbitrator, the choice of arbitration shall be referred to the LCA.
The findings of the arbitrator and subsequent award shall be binding on the Parties and may be enforced through a Nigerian court of law. Each Party shall bear its cost in connection with the Arbitration.
This Agreement shall be interpreted and governed by the laws in force in the Federal Republic of Nigeria. The Parties submit to Arbitration and waive any objections based upon venue.
You will be deemed in default on your loan (each, an "Event of Default") if you:
Upon the occurrence of an Event of Default, we may exercise all remedies available to us under applicable law, this Agreement, the Loan Agreement and the Promissory Note, including without limitation, a demand that you immediately pay all amounts owed on your loan or terminate this Agreement.
In the Event of Default on your loan repayments, you hereby consent to whatever means we
deem fit to facilitate the recovery of your loan payments.
Any loan you obtain prior to the effective date of termination resulting from listings you placed on the Site shall remain in full force and effect in accordance with their terms.
This Loan Agreement and Promissory Note between the Borrower (“you”) and the Lender or any holder of this Promissory Note (collectively referred to as the “Parties”) is agreed as at the date of the Lender accepting to grant the Borrower a loan which is on the _____________ of ____________201__. This Agreement applies only to the parties who have signed below on behalf of the parties.
For value received, I ("Borrower") promise to pay to the order of the Lender or any subsequent holder of this Promissory Note (the "Note") the principal sum of ________________ Naira with interest as set forth below. I intend to be legally bound by this Note. I have read, understood, and agreed to all of the terms of this Note.
This Note bears interest during each calendar month from the date hereof until paid, at a fixed rate of ______ (%). Interest is calculated on a monthly basis upon the unpaid balance with each payment representing 1/12th of a year.
Principal and interest is to be paid during and throughout the period of ________ months in the following manner:
Payments of principal and interest in the amount of ________________ Naira are to be made by the Borrower to the Lender commencing _____________, 20__, and on the same day of each successive month thereafter until __________, 20__, when the full amount of unpaid principal, together with unpaid accrued interest is due and payable. If the monthly anniversary is on the 29th, 30th, or 31st of the month, and the following month does not have a 29th, 30th, or 31st day, the monthly payment will be due on the last day of the month in which the payment was due. The last payment might be of a slightly different amount to adjust for rounding.
All payments on this Note are to be made in Naira. Borrower authorises FINT to debit Borrower's designated account for the amount of each payment due on each due date.
Borrower may make any payment early, in whole or in part, without penalty or premium at any time. Any partial prepayment is applied against the principal amount outstanding and does not postpone the due date of any subsequent monthly payment, unless expressly agreed to in writing.
If Borrower prepays this Note in part, Borrower agrees to continue to make regularly scheduled payments until all amounts due under this Note are paid. Lender may accept late payments or partial payments, even though marked "paid in full", without losing any rights under this Note. Any regularly scheduled monthly instalment of principal and interest that is received by Lender before the date it is due shall be deemed to have been received on the due date solely for the purpose of calculating interest due.
Borrower certifies that the proceeds of the loan will not be used for the purposes of funding any illegal activity.

THIS AGREEMENT IS FULLY SUBJECT TO BORROWER’S CONSENT TO ELECTRONIC TRANSACTIONS AND DISCLOSURES, WHICH CONSENT IS SET FORTH IN THE TERMS OF USE FOR THE SITE.
The provisions of this Note will be governed by laws of the Federal Republic of Nigeria. The unenforceability of any provision of this Note shall not affect the enforceability or validity of any other provision of this Note.

You also authorize us to verify information in your application, and you agree that we may contact third parties to verify any such information. As and when appropriate, we may use your consumer reports to authenticate your identity, to make credit decisions.
You direct us to provide on your behalf certain elements of your application, as well as risk report information (but not including your name) to users of the https://www.fint.ng/ website who are registered as investor members ("Investor Members") for purposes of making decisions associated with your loan. You authorize us to obtain new risk reports and related information each time you request a loan, during the processing or closing of a loan to you, or at various times during the term of your loan in connection with the servicing, monitoring, collection or enforcement of the loan.
Payment for the risk assessment does not guarantee that you automatically qualify for a loan as it is only used as a method of assessing your risk for purposes of your loan approval.
